The Role

We are looking for a motivated and capable senior level associate (minimum four years PQE) for our highly regarded Intellectual Property and Technology (IPTech) team at Baker McKenzie working on some of the highest quality and most exciting work the market has to offer.

You will be an active part of our fast growing local and regional practice and industry groups.

The role will have the following core focus :

  • Working with our team on telecommunications, media and IPTech focused transactions and agreements, including : outsourcing agreements, data centre collocation and leasing agreements, cloud services agreements and service level agreements, interconnection, facilities leasing and access arrangements, peering and transit arrangements, co-location, roaming, number porting, type approval, carrier selection and wholesale service offerings, network infrastructure building and rollout : construction and infrastructure, sale and leaseback agreements and service agreements : network service, service-level, reseller, channel agreements and MVNO arrangements;
  • satellite transponder, leasing and service level agreements; content production agreements and all associated agreements, including cast and crew agreements, script writing agreements, waivers and releases;
  • licensing and distribution agreements for all platforms : channel distribution agreements, channel playout TVOD, pay television, SVOD, free television and libraries;
  • Working with our corporate team on complex commercial agreements required as part of significant M&A, JV and other corporate transactions (e.
  • g. Transitional Services Agreements, Manufacturing and Supply Agreements, Distribution Agreements and Collaboration Agreements), often with a global or cross border focus.

    Examples of some of the exciting instructions you’ll be working on :

    You will work on a range of instructions in the following areas :

  • Advice and support in respect of ECS and ECNS licensing and radio frequency licensing, including licence application, regulatory process, policy, legislative and regulatory initiatives.
  • Advisory work on content and advertising regulation.Advisory work on telecommunications, media and broadcasting regulation.
  • Advisory and transactional work relating to all aspects of the Fintech sector.
  • Advisory work on social media, takedown notices and policy drafting
  • IP Clearances and copyright advisory work.
  • Commercial arrangements, agreements and transactions in respect of the electronic sale of (i) physical goods, (ii) digital goods and (iii) services (B2C, B2B, C2C, C2B and B2G)
  • Advisory work on the compliance requirements applicable to the electronic sale of (i) physical goods, (ii) digital goods and (iii) services (B2C, B2B, C2C, C2B and B2G).
  • Data privacy advisory work and the drafting of all associated data protection and privacy documentation, including data processing agreements, intra company transfer agreement, policies.
  • Cybersecurity in terms of payments, transactions

  • Setting up corporate vehicles and arrangements for commercial exploitation of IP
  • Exchange control in respect of inbound and outbound royalty arrangements (DTI and SARB) and export of intellectual property
  • Lobbying and commenting on new legislation
  • Key Skills and Experience Required

    The successful candidate will be able to demonstrate all or the majority of the following :

  • A qualified lawyer with excellent academic credentials
  • Current experience in the TMT / IPTech department of a leading firm
  • First rate technical skills needed to support the client work of the department
  • Commerciality and demonstrable business development experience
  • Excellent written communication and drafting skills
  • Initiative and proactivity
  • Maturity and gravitas
  • Strong service orientation - a "client first" culture
  • Ability to develop strong relationships with clients and to take responsibility for this relationship
