Legal : guidance across all areas and geographies to ensure : every transaction is appropriately negotiated, documented and implemented, losses arising from litigation are minimised, and legal issues carrying negative reputational consequences are avoided.
To manage, identify and mitigate complex legal risks across the Equity Finance and Investments Investment Banking deal team.
To provide accurate, expert and specialised legal advice on legal and regulatory matters and involvement in the structuring of the transactions in line with the relevant market practice and Banking practices and procedures.
To manage and coach deal makers in the team on identifying, understanding and responding to legal issues and considerations.
To manage legal risk in the Investment Banking Business Unit in collaboration with other colleagues in the legal team. To contribute towards : (i) building one CIB Legal team;
and executing on the CIB Legal Strategy and goals as determined from time to time.
Key Responsibilities / Accountabilities
Ensure efficient and effective agreements are in place and that sound advice is provided to the relevant team
Draft / vet and negotiate relevant complex agreements, confidentiality agreements and terms sheets
Assist in developing bespoke structures and mechanisms for deals being mindful of the legal implications and parameters
Assisting the deal team with pitch documents / decks
Assisting the deal team in their engagements with the relevant risk team (including BS&R), be it at deal initiation phase, deal approval phase, deal negotiation phase, financial close, post financial close or in respect of default
Scrutinise signed documentation and sign off such documentation together with any conditions precedent in order to authorise trading / utilisation
Assist and advise on complex queries with respect to the operation and content of the relevant agreements, including structuring of deals, briefing external counsel, providing opinions on legislation and common law, and enforcement procedures and practical implications thereof.
Providing input in relation to the aforegoing in respect of committee papers and at committee meetings.
Provide advice and opinions in the structuring of the transactions being mindful of the legal implications and parameters
Identify inefficiencies and also risks which should appropriately be dealt with by the teams reporting in, and develop a procedure to eradicate, monitor and / or report on these risks.
Develop ways of increasing efficiencies in the interactions between the deal team, risk team and legal
Provide input into Legal (Risk) management strategies & the practical application & operations thereof.
Negotiate at a sophisticated level of sound legal agreements within set legal parameters
Understanding share acquisition deals and shareholding structures and arrangements so as to dovetail funding terms in light of the type of deals emanating from the deal team
Understanding private equity fund structures and market practice and norms in relation thereto in light of the type of deals emanating from the deal team
Understanding preference share funding structures and enforcement and tax implications thereof
Keep abreast of industry specific knowledge and key developments
Manage or be involved in project work related to the relevant agreements e.g. new product developments, updating and amendment of templates etc.
Represent the bank in industry working groups and / or committees. Comment on impact of legislation on the Legal team and provide feedback to team, highlighting areas of concern and providing recommendation
Keep abreast of local and international developments with regards the relevant agreements and ensure that this knowledge is filtered through to the rest of the team
Attend various committee meetings and occasion conduct presentations at industry specific forums.
Management and involvement in Projects within Legal, Investment Banking relating to processing of transactions
Involvement in process improvement and enhancement in Investment Banking
Involvement in process development for processing of new products
Ensure efficient and effective stakeholder engagement
Proactively develop and manage relationships with key external stakeholders including local regulators and external legal counsel relevant to the business and external regulatory bodies to ensure Standard Bank receives appropriate co-operation when required and that the Group meets and is seen to meet regulatory compliance.
Build and develop relationships across the firm with various stakeholders with the intention of breaking down silos to maximise business growth.
Hold primary relationship with clients in relation to legal execution and handle all aspects of client interaction including coordinating and execution of transactions.
Coordination of efforts with in-country / RoA Legal teams as may be required
Ensure an efficient and effective leadership and staffing process
Together with Human Capital for the area, determine the people strategy for the area with a focus on talent management, resourcing, development and retention.
Oversee the moderation and relative distribution of performance appraisals in line with overall business performance for the area.
Mentor key managers and executives in the area on people management techniques and approaches. Motivate senior managers in the area to set the example on living the values and recognition.
Review the overall development needs analysis. Approve training budgets and review actual spend to ensure that funds are being used.
Review and approve succession plans for key roles in the area. Support the Talent Review process and approve nominations for the area.
With support from Human Capital, interview and hire direct reports. Support managers with their recruitment decisions on request.
Review consolidated headcount plans; reallocate resources between departments if needed.
Approve / decline headcount within overall mandate.

Involvement in the Legal Manager’s transactions if, and when, escalated
Management of Legal Risk across Investment Banking
Ongoing assessment to ensure CIB Investment Banking standard documentation and agreements are of a high professional standard
Coordinate and drive the process to unpack Legal and Business concerns in a solution-orientated and commercially pragmatic manner, with acceptable risk as opposed to total risk elimination approach
Proactive identification, investigation and solution of legal issues and / or inefficiencies presented from time to time

Find commercial solutions to legal issues and potential legal solutions to commercial issues
Provision of sound legal advice and opinions to CIB Investment Banking

Collation of all information required for the accurate completion of legal agreements in a professional format

Preferred Qualification and Experience
Masters in Law / relevant certificate in banking law / litigation
8+ years PQE
3-4 Years Banking and Finance
